Terms and Conditions of Use for Outdoo Services<\/h1>
  1. INTRODUCTION<\/strong>
    Please read the following Terms and Conditions carefully. By accessing the Outdoo website and\/or using the Services offered on the Outdoo Website, you declare that you are of legal age and that you have read, understood, and accepted the Terms and Conditions set out below (including the privacy policy and cookie policy). Use of the Site is reserved for adult Users.

    <\/li>
  2. DEFINITIONS
    <\/strong>Unless otherwise specified, the following definitions apply for the purposes of these Terms and Conditions. Singular terms include the plural, and vice versa.
    1. By \u201cOutdoo\u201d, \u201cwe\u201d, \u201cus\u201d, and \u201cour\u201d and similar terms, we mean Outdoo S.r.l., a company incorporated under Italian law with its registered office in Padua, Via S. Crispino, 106, Tax Code, VAT number, and registration in the Padua Register of Companies no. 05719700287, share capital equal to EUR 10,000.00, PEC for traveler complaints: outdoo.srl@pec.it; PEC for administration: outdoo.srl@pec.it.<\/li>
    2. By \u201cSite\u201d, we mean the website, including the mobile version, on which Outdoo’s services are made available.<\/li>
    3. By \u201cGeneral Conditions\u201d, we mean the general conditions of sale for travel packages, available for consultation at the following link<\/a>.<\/li>
    4. By \u201cService\u201d, we mean the features and functionality of the Site that can be used by the User, including all services made available on the Site.<\/li>
    5. By \u201cTravel Package\u201d, we mean the trip, holiday, and related services resulting from the combination, by anyone and in any way, of at least two of the following elements, sold or offered for sale at an all-inclusive price: i) transport; ii) accommodation; iii) tourist services not ancillary to transport or accommodation that constitute a significant part of the package for the satisfaction of the tourist’s recreational needs; iv) any other tourist service that does not form an integral part of one of the tourist services referred to in points i), ii), iii), and is not a financial or insurance service; <\/li>
    6. By \u201cTerms and Conditions\u201d, we mean these Terms and Conditions of use of the Site, which constitute a binding contract between the User and Outdoo.<\/li>
    7. By \u201cUser\u201d, \u201cyou\u201d, \u201cyour\u201d, and similar terms, we mean the natural or legal person who uses the Site.<\/li>
    8. By \u201cApplicable Law\u201d, we mean the laws, regulations, and other binding acts applicable in the territory of the Italian Republic, with the exception of laws regarding conflict of jurisdiction.

      <\/li><\/ol><\/li>
    9. OWNERSHIP OF THE SITE AND RELATED SERVICES
      <\/strong>The Site is the exclusive property of Outdoo S.r.l., as identified in point 2) of the Terms and Conditions. Unless otherwise provided by Applicable Law, browsing the Site and\/or any other use of it does not confer any rights upon the User.

      The Site is dedicated to the presentation and purchase of Travel Packages and allows the User to:<\/p>

      1. check the destinations and dates available with reference to Travel Packages presented by Outdoo on the Site;<\/li>
      2. send contact requests to Outdoo to receive more information on the travel packages presented;<\/li>
      3. configure their own Travel Package by selecting the services they prefer;<\/li>
      4. consult the General Conditions and complete the purchase of a Travel Package;

        <\/li><\/ol><\/li>
      5. PORTAL OPERATION
        <\/strong>Outdoo is committed to a standard of commercial reasonableness to ensure that the Site is always accessible and functional. However, it is not possible to exclude potential malfunctions and\/or interruptions (regardless of their duration), for which Outdoo cannot be held responsible except in cases expressly provided for by Applicable Law.

        To ensure the User has the best possible experience on the Site, Outdoo reserves the right to temporarily suspend its use to allow for updates and\/or maintenance, where possible, informing the User in advance through the Site itself.<\/p><\/li>

      6. SITE REGISTRATION, ACCOUNT SUSPENSION OR CANCELLATION
        <\/strong>By filling out the appropriate forms available on the Site, it is possible to register and create a personal account. Registration and account creation are necessary to proceed with the purchase of a Travel Package. During account creation, you are required to choose a password and, for this purpose, you must use a unique alphanumeric combination not used on other occasions that is sufficiently complex so as not to be easily identifiable. As a best practice, we also remind you to avoid writing down the password on paper and\/or sharing it with third parties. The account is strictly personal and cannot be transferred or shared for viewing with third parties in any way. The User is held directly responsible for actions performed through their account.

        The User can contact Outdoo at any time using the contact details indicated in these Terms and Conditions and\/or in the privacy policy to request the cancellation of their account. Outdoo will proceed with the cancellation without unjustified delay unless there are reasonable grounds not to do so and\/or to proceed only with suspension (e.g., pending a Travel Service already purchased by the User). <\/p>

        Outdoo reserves the right, to be exercised fairly but at its sole discretion and without the exercise of this right giving rise to any claim, to suspend or cancel the User’s account if it believes that:<\/p>

        1. the User has violated the Terms and Conditions;<\/li>
        2. access to or use of the Service and\/or the Site could, even potentially, cause damage to Outdoo, other Users, and\/or third parties;<\/li>
        3. the User’s use of the Service and\/or the Site may involve a violation of the law (including, but not limited to, Applicable Law);<\/li>
        4. in the event of investigations conducted by public authorities and\/or judicial bodies and\/or by order of the latter;<\/li>
        5. the User’s account is deemed by Outdoo, at its sole discretion, to be inappropriate, offensive, or in violation of the Terms and Conditions (including, but not limited to, Prohibited Uses, as defined below).<\/li>
        6. there are reasonable grounds to believe that the Site and\/or the Service are or may be used by unauthorized third parties;<\/li>
        7. a force majeure event occurs or circumstances that, at Outdoo’s sole discretion, require emergency interventions, suspension of the Site, and\/or resolution of security problems, dangers to infrastructure and\/or people;<\/li>
        8. the User is involved, in any capacity, in any judicial or extrajudicial dispute of a civil, criminal, or administrative nature, and, in any case, if such dispute could involve actions or measures against Outdoo.

          Outdoo’s right to compensation for damages remains reserved.<\/p><\/li><\/ol><\/li>

        9. USER INTELLECTUAL PROPERTY RIGHTS
          <\/strong>Without prejudice to the applicable legislation on the protection of personal data, any material, information, image, content, comment, proposal, or idea transmitted or posted on the Site will not be considered or treated as confidential or proprietary.

          Within the limits of Applicable Law, the User assigns to Outdoo all rights, including for commercial use purposes, to such information and content, which Outdoo will therefore be authorized to copy, transmit, modify, disclose, and use to the maximum extent permitted by Applicable Law. By sending, publishing, or uploading to or through the Site, the User therefore grants Outdoo a non-exclusive, royalty-free license, without territorial or time limits and with the right to sublicense, to use, copy, reproduce, process and re-process, adapt, modify, publish, transmit, display, distribute, and transfer such information and content on any medium or distribution method currently available or developed in the future. <\/p><\/li>

        10. IMAGE RIGHTS RELEASE
          <\/strong>To the maximum extent permitted by Applicable Law, and without any territorial or time restrictions or limitations, every intellectual and\/or industrial property right, moral and\/or economic, and in any case of any nature and kind, relating to, inherent in, resulting from, and\/or otherwise connected to the activities carried out while browsing the Site and\/or during the provision of Travel Packages, including any audio-video recordings featuring the Travel Package participant (\u201cParticipant\u201d), is attributed from the outset and free of charge to the full and exclusive ownership of Outdoo. Consequently, where necessary, the Participant hereby undertakes to also grant all economic exploitation rights and related rights connected to any content created by them during the provision of the Travel Package, including the right to reproduce and communicate the materials created to the public, as well as rights related to their image and personality pursuant to articles 96 et seq. of Law 633\/1941 and article 10 of the Civil Code.

          To the extent necessary, the Participant expressly authorizes Outdoo, free of charge, to exercise all rights of use (including \u2013 by way of example only \u2013 use, reproduction, adaptation, assignment, dissemination, and publication) of their personal image contained in the video recordings and photographs that will be filmed and\/or taken in the context of the Travel Package. This authorization is granted without time limits for all purposes related to the promotion and enhancement of Outdoo’s commercial activities (before, during, and\/or after the provision of the Travel Package) using offline communication tools (brochures, presentations, etc.) and\/or online tools (websites, portals, social channels, etc.). <\/p><\/li>

        11. OUTDOO INDUSTRIAL AND INTELLECTUAL PROPERTY RIGHTS
          <\/strong>All trademarks, figurative or nominative, and all other signs, trade names, service marks, word marks, commercial denominations, illustrations, images, and logos appearing on the Site are and remain the exclusive property of Outdoo or its respective licensors and are protected by applicable laws (including, but not limited to, Applicable Law).

          Furthermore, Outdoo is the exclusive owner and\/or licensee of any material, information, image, content, proposal, or idea on the Site, including \u2013 but not limited to \u2013 texts, documents, images, logos, photographs, page layouts, design, know-how, and the products and services offered; to the maximum extent permitted by Applicable Law, the aforementioned materials and information are protected under applicable industrial and intellectual property legislation as, depending on the case, they may be protected as trademarks, patents, models, and\/or other industrial and intellectual property rights. For the entire duration of these Terms and Conditions and until their termination, Outdoo grants the User a personal, non-transferable, and non-exclusive license, limited to use for strictly personal and non-commercial purposes, of this information or content. By way of example only, the User may not copy, download, modify, publish, transmit, sell, sub-license, process, send, transfer\/assign to third parties, or create derivative works from what is made available on or through the Site, nor facilitate or allow third parties to do so, taking steps to ensure this does not happen. <\/p>

          Where expressly indicated on the Site, the User may be authorized to download or share what is made available on the Site. Such activities may in any case be carried out for personal purposes only and by faithfully reporting all copyright notices and other information provided by Outdoo. <\/p><\/li>

        12. PROHIBITED OR UNAUTHORIZED USES
          <\/strong>The Site and Services are made available to the User, who undertakes to use them fairly and in good faith according to their own diligence. Therefore, the User undertakes not to implement, facilitate, or allow, even through passive or omissive behavior, improper, incorrect, harmful uses and\/or those contrary to reasonableness. By way of example only, such conduct includes:
          1. all conduct prohibited under or contrary to these Terms and Conditions;<\/li>
          2. conducting hacking activities (including ethical hacking) and\/or reverse engineering, decompiling, disassembling, modifying, or creating derivative works based on the Site or any portion of it, and\/or on the content and information available therein.<\/li>
          3. circumventing the computer systems and security measures adopted by Outdoo or its licensors to protect the Site.<\/li>
          4. adopting behaviors and\/or disseminating content that may be considered prohibited by Applicable Law (e.g., content for which the User has not obtained the necessary licenses or approvals, which represents or incites the commission of crimes, etc.), or that may be considered intimidating, harassing, defamatory, obscene, indecent, seditious, offensive, pornographic, abusive, likely to incite racial hatred, discriminatory, threatening, scandalous, blasphemous, in breach of obligations of secrecy, confidentiality, or protection of personal data, or that may in any case cause significant disturbance to third parties, or be contrary to public order or morality, and\/or that infringe the rights of third parties without any territorial or time limitation;<\/li>
          5. acts or omissions, even involuntary, that cause damage including, without any limitation, any conduct that results in the installation of viruses (e.g., malware, trojan horses, worms, defective components, corrupted data, etc.);<\/li>
          6. using any robot, spider, site search and\/or retrieval application, or any other automatic device, process, or means to access, retrieve, extract, scrape, or index any portion of the Site or its contents;<\/li>
          7. inserting references, citations, or direct hyperlinks to the Site, and\/or using “framing” or “inlining” techniques (copying a part or an element of the site onto another site). No element present on the pages of the Site may be partially or totally distributed, transferred, or inserted into another site, without the express authorization of Outdoo. <\/li>
          8. disposing of, licensing, or sublicensing the Site;<\/li>
          9. disseminating or publishing illegal, obscene, unlawful, defamatory, or inappropriate content.<\/li>
          10. using the Site to approach other Users or third parties in general to promote, sell, or advertise their own or third-party products or services in any way;

            (\u201cProhibited Uses\u201d).
            <\/strong>Outdoo actively cooperates with public authorities and judicial bodies and, in addition to promptly following any orders it may receive, will promptly report any illegal conduct.<\/p><\/li><\/ol><\/li>

          11. DISCLAIMER OF LIABILITY
            <\/strong>The User is responsible for their own use of the Site and, to the maximum extent permitted by Applicable Law, Outdoo declines all responsibility for any damage or prejudice suffered by the User as a result of accessing and\/or any form of use of the Site.

            The Site features links and multimedia connections to third-party sites and content. Outdoo does not exercise any control over such sites and content, nor can it be held responsible for what is made available there. The User accesses them under their sole responsibility. <\/p>

            Outdoo is also not responsible for: a) any damage or loss that is a direct consequence of the violation of these Terms and Conditions; b) any loss of business opportunities and\/or other direct or indirect damages potentially suffered by the User (such as, by way of example only, commercial loss, loss of revenue, income, profits, or anticipated savings, loss of contracts or business relationships, loss of reputation or goodwill value); c) damage or loss resulting from interruptions or malfunctions of the Site due to force majeure events or, in any case, events beyond Outdoo’s control and\/or outside its sphere of control such as, but not limited to, failures or interruptions to telephone or power lines, the internet and\/or other transmission tools, unavailability of websites, strikes, natural events, viruses and cyber attacks, interruption in the supply of third-party products, services, or applications; d) incorrect use of the Site by the User or third parties. <\/p>

            It is the User’s responsibility to equip themselves with a suitable and secure device for online browsing and the relative Internet connectivity. Any associated cost is the sole responsibility of the User. <\/p><\/li>

          12. PROTECTION OF PERSONAL DATA
            <\/strong>Outdoo is committed to complying with legislation on the protection of personal data. For more information on the processing of personal data carried out, please consult the privacy policy available at this             link<\/a> which, together with the cookie policy available at this link<\/a>, constitutes an integral and substantial part of these Terms and Conditions. <\/li>
          13. APPLICABLE LAW AND JURISDICTION
            <\/strong>These terms and conditions are governed by Applicable Law (i.e., the law of the Italian Republic).

            For any dispute relating to these Terms and Conditions, their interpretation, execution, and\/or validity, the Court of Milan shall have exclusive jurisdiction, with the exception of disputes with a User who qualifies as a consumer under Applicable Law, which will instead be the responsibility of the judicial authority of the place of residence or domicile of the User.<\/p><\/li>

          14. AMENDMENTS TO THESE TERMS AND CONDITIONS
            <\/strong>Outdoo reserves the right to make changes to the Terms and Conditions at any time, giving notice to the User by publishing them on the Site and, where possible, bringing them to the attention of each interested User. A User who continues to use the Site following the publication of changes unreservedly accepts the Terms and Conditions as updated from time to time. <\/li>
          15. INEFFECTIVENESS AND PARTIAL NULLITY
